Certificate of Capacity / Authority of the Company Director

Our Notary Office assists directors of all French companies in the issuance of capacity / authority certificates.

This certificate attests to the legal capacity / authority of the signatory to bind the company they represent.

The capacity / authority certificate can only be issued for the benefit of French companies to certify the legal capacity / authority of their director under French law.

The notary cannot certify the legal capacity / authority of legal representatives of foreign companies.

Certificates for Professionals

For businesses and professionals who cannot come to our offices and/or for operations requiring one or more certifications during business meetings, a notary from the office can travel to perform the necessary certifications.

Submission of Supporting Documents

Send us by mail (or deliver in person) an original K-Bis extract dated within the last 2 months, a certified true copy of the company's bylaws, and a certified true copy of the minutes of the appointment of the relevant director (unless the appointment is statutory).

Preparation of the Certificate of Capacity / Authority

Upon receipt of the documents and after reviewing them, we will propose a draft certificate of capacity / authority for the director to ensure that it will be accepted by its recipient.

Issuance of the Certificate of Capacity / Authority

Once the draft certificate of capacity / authority is validated together, we will issue it and send it to you by post or deliver it in person (accompanied by any original documents submitted). A digital copy of this document will also be sent to you by email.
