Share Capital Deposit in France from the United States: What Is the Procedure?

Entrepreneurs and investors residing in the United States may set up a French company and deposit its share capital with a French notary.

The service may be used for an SAS, SASU, SARL or EURL, with individual shareholders or US companies.

Where a US company subscribes, its formation documents, representatives and ultimate beneficial owners must be identified. The diversity of US corporate forms and registries makes prior review particularly useful.

Funds may be transferred from a US bank account after the file and originating account have been approved. Source-of-funds evidence may be requested.

The depositary’s certificate can be issued within 24 business hours after receipt of the funds when the file is complete.

After registration, the funds are released to the French company.
