Certificate of Legality of Cross-Border Merger

Our Notary Office assists directors of capital companies in the issuance of certificates of legality for cross-border mergers.

This certificate legally certifies that the cross-border merger procedure complies with the provisions of the French Commercial Code and Directive (EU) 2017/1132, Chapter II.

The certificate of legality for cross-border mergers can only be issued for the benefit of French capital companies, whether they are the absorbing or absorbed entity in the merger.

The notary cannot certify the legality of the cross-border merger concerning companies governed by foreign law.

Involvement of other legal professionals (lawyers, foreign legal advisors, etc.)

When the companies involved in the cross-border merger have appointed legal counsel (lawyer, foreign legal advisor, etc.) for the merger, the notaries of the office can liaise directly with them to obtain the necessary elements and supporting documents for issuing the certificate of legality for the cross-border merger.

In this case, and to facilitate communication and the process, the counsel for the companies involved in the cross-border merger may act as the sole contact for the notary responsible for certifying the legality of the cross-border merger procedure.

Initial Contact

Send us an email (or via the contact form below) with a description of the proposed cross-border merger operation (including whether it is a "simplified" merger), the participating companies, and the current status of the merger process. If applicable, please also provide the identity and contact details of any legal counsel (lawyer, foreign legal advisor, etc.) involved in the cross-border merger operation.

Transmission of the List of Required Supporting Documents

Immediately after our initial contact, we will send you a list of the necessary elements and supporting documents required for issuing the certificate of legality for the cross-border merger. The documents to be submitted vary depending on the structure of the companies involved in the cross-border merger and any existing relationships between these companies (subsidiaries, shareholding, parent-subsidiary relationships, etc.).

Issuance of the Certificate of Legality for a Cross-Border Merger

Upon receipt of all the necessary information and documents, a notary from the office will issue a certificate of legality for the cross-border merger. This certificate will be immediately sent in digital format by email. The notary can also issue as many original copies of the certificate of legality as requested. The issuance period for the certificate of legality is a maximum of 15 days but can be shortened upon request.
