Share Capital Deposit in France from Hong Kong: What Is the Procedure?
Entrepreneurs, shareholders and investors residing in Hong Kong can set up a company in France and deposit its share capital with a French notary.
This solution may be used where the founders do not yet have a French business bank account. The file is reviewed before any transfer to verify the identity of the parties, the structure of the company and the information required to receive the capital.
The deposit may concern a SAS, SASU, SARL or EURL, with individual shareholders residing in Hong Kong or, subject to prior review, a company established in Hong Kong acting as shareholder.
Where a shareholder is a legal entity, documents from the Hong Kong Companies Registry and supporting documents identifying the company, its directors or representatives and its ultimate beneficial owners are required. Supporting documents concerning the source of funds may also be requested.
Depending on the nature of the documents and their intended use in France, a translation and an apostille, legalisation or another authentication formality may be required after review by the office. The arrangements for the transfer of funds from Hong Kong to France are reviewed before the funds are sent.
After receipt of the funds and completion of the required checks, the notary issues the certificate of deposit of funds required for the company registration process. The office handles more than 1,000 share capital transactions per year and, where the file is complete, the certificate can generally be issued within 24 business hours after receipt of the funds.
Once the company has been registered and its Kbis, signed articles of association and company bank details have been provided, the funds are released and transferred to the bank account opened in the company’s name.
