What documents are required to make a share capital deposit?

Under french law, to request a share capital deposit with the custodian (e.g., a public notary), the founder and any potential shareholders must submit a number of necessary documents to the custodian. These are the supporting documents related to the company being formed.

Therefore, we invite you to fill out a share capital deposit request form (available here) and send it to us along with:

– A copy of the identity document (as ID Card) of the requester and those of the future shareholders of the company

– And/or a Kbis extract of less than 3 months for each corporate shareholder (parent company),

– A copy of the draft articles of association of the company

– A list of the company’s subscribers

When one or more of the future shareholders is a foreign legal entity, the list of beneficial owners (“liste des bénéficiaires effectifs“) of the company being formed must also be provided (this document must also be submitted during the company registration with the competent commercial court clerk).

Upon receiving these documents and the deposit of the share capital into the custodian’s account, the custodian sends the future shareholders the custodian certificate (also known as the share capital deposit certificate) in digital format (to allow online registration) and the original certificate by mail.
