Share Capital Deposit in France from Morocco: What Is the Procedure?
A shareholder, director or investor residing in Morocco can participate in the formation of a French company and deposit its share capital with a French notary.
This procedure makes it possible to deposit the capital before the company’s definitive business bank account has been opened. The office reviews the draft articles, the subscribers and the documents required to receive the funds.
The deposit may concern a SAS, SASU, SARL or EURL, including where some or all shareholders reside in Morocco. A Moroccan company may also subscribe to the capital, subject to review of its corporate documents, representatives and ultimate beneficial owners.
For international files, documents establishing the identity of the parties and the source of funds may be requested. These documents are reviewed before the transfer.
The transfer of share capital from Morocco to France should be anticipated. The transfer arrangements depend in particular on the subscriber’s situation and the account used. To avoid an incompatible transfer, funds should only be sent after the file has been approved and the office has provided payment instructions.
After receipt of the capital and completion of the required checks, the notary issues the certificate of deposit of funds. Where the file is complete, it can be issued within 24 business hours after receipt of the funds.
After registration, the funds are transferred to the bank account opened in the company’s name once the required supporting documents have been provided.
