Share Capital Deposit in France from Tunisia: What Is the Procedure?
Entrepreneurs and investors residing in Tunisia can set up a company in France and deposit its share capital with a French notary.
Using a notary makes it possible to complete the deposit before the company has its definitive French business bank account. The file is reviewed in advance to verify the articles, the subscribers and the supporting documents required to receive the funds.
The procedure may concern a SAS, SASU, SARL or EURL. Shareholders may be individuals residing in Tunisia or, subject to prior review, Tunisian companies participating in the capital of a French company.
For a foreign legal entity, the office requires documents identifying the company, its representatives and its ultimate beneficial owners. Supporting documents concerning the source of funds may also be required.
The arrangements for the transfer of funds from Tunisia to France must be reviewed before the transfer. The file and the account from which the funds will be sent are therefore checked before payment instructions are provided.
After receipt of the capital and completion of the required checks, the notary issues the certificate of deposit of funds. Where the file is complete, the certificate can be issued within 24 business hours after receipt of the funds.
Once the company has been registered, the capital is released after the required supporting documents have been provided and transferred to the bank account opened in the company’s name.
